Publigroupe: Ueli Dietiker to become Chairman of the Board of Directors

At the extraordinary general meeting on October 24, 2014, Swisscom will propose Ueli Dietiker as chairman of the board of directors, as well as two additional board members.

Following the successful completion of the public takeover of Publigroupe by Swisscom on September 5, 2014 (Werbewoche.ch reported), the new Board of Directors will be elected at the Extraordinary General Meeting on October 24, 2014. In future, Swisscom will appoint the Chairman of the Board of Directors and two other Board members.

At the Extraordinary General Meeting on October 24, 2014, Swisscom CFO Ueli Dietiker will be proposed as Chairman of the Board of Directors and Mario Rossi, Thomas Schönholzer (all Swisscom) and Hans-Peter Rohner (Publigroupe) will be proposed for election to the Board of Directors. The current Publigroupe Board members Pascal Böni, Christian Budry, Andreas Schönenberger, Christian Unger and Christian Wenger will step down at the same time. Hans-Peter Rohner will relinquish his mandate as Chairman of the Board of Directors.

In addition to the election of the new Board of Directors, the Annual General Meeting will also approve the planned sale of the minority stake of 25.07 percent in FPH Freie Presse Holding AG to AG für die Neue Zürcher Zeitung (NZZ Media Group), which already holds the remaining 74.93 percent of the company's capital. The planned transaction amounts to CHF 53 million. The Annual General Meeting will also approve the sale of Publigroupe's shares in Swisscom Directories (49 percent Publigroupe) and LTV Yellow Pages (51 percent Publigroupe) to Swisscom. Swisscom will then take the necessary steps to merge the three Local.ch companies (Swisscom Directories, LTV Yellow Pages and Local.ch), which are to be legally merged before the end of this year.

As previously announced, Swisscom will sell Publigroupe's media holdings. Swisscom will examine all options for the other holdings by the end of the year. Publigroupe Holding will remain in existence until further notice. As already announced with the definitive result on August 29, 2014, Swisscom will apply for the cancellation of the non-tendered Publigroupe shares in the coming weeks. Publigroupe will also be delisted from the SIX Swiss Exchange.
