Lawsuit against Constantin Medien

Highlight, a subsidiary controlled by Swiss entrepreneur Bernhard Burgener, has filed a lawsuit with the Munich Regional Court challenging the resolutions passed at Constantin’s chaotic general meeting in November, the company announced on Tuesday.

Burgener and his allies were excluded from voting at the meeting. The reason: The opposing camp around Constantin's Chairman of the Board of Directors Dieter Hahn accuses Burgener of having secretly sold a block of shares in the parent company Constantin Medien via the subsidiary Highlight, which he manages - an accusation that Burgener's people deny.

Anyone who exceeds or falls below certain thresholds (such as three, five, ten or fifteen percent) in share deals must report this by law to both the company concerned and the supervisory authority Bafin.
