Highlight Communications against realignment
The Board of Directors of Pratteln-based media group Highlight Communications is resisting the realignment imposed by parent company Constantin Medien.

Highlight Communications' reaction was triggered by a decision of the Group management and the Board of Directors of the German parent company, Constantin Medien, to realign the subsidiary. The latter previously operated in the Sports- and Event-Marketing segment (Team Holding) and the Film segment (Constantin Film). Constantin Medien, which holds 60.5 percent of Highlight Communications, intends to sell the film business and focus Highlight Communications on Sports- and Event-Marketing. Competencies were exceeded during the realignment, Highlight Communications said in a statement Thursday. In addition, the sale of the film business envisaged by the majority shareholder is not in the interest of the company or the minority shareholders.
According to Highlight's press release, the Board of Directors has clearly rejected such a strategic realignment of the Highlight Group in the past, with the exception of Board Chairman Dieter Hahn, who owns shares in Highlight Communications.
This is because the sale of the Film segment would give rise to significant cluster risks for the Highlight Group, which could jeopardize the Company's continued existence.
In the view of the Board of Directors, the break-up of the current Highlight Group is neither considered to make business sense nor to be legally permissible, the statement continues. The Board of Directors therefore intends to take appropriate measures in the interests of the company.
10.3 percent in Constantin Medien and, together with other shareholders, 28.3 percent. HEE, in turn, is 64.5 percent owned by Bernhard Burgener, who is Chairman of the Board and Delegate of Highlight Communications. Burgener himself holds 4.6 percent of Highlight Communications.
