Swisscom and Tamedia want to further develop directory services together
Swisscom and Tamedia agree on a joint approach in the market for directory services. Following the takeover of Publigroupe by Swisscom, Tamedia intends to incorporate the Local.ch and Search.ch operations into a joint subsidiary.
Swisscom is to hold 69 percent of this subsidiary and Tamedia 31 percent. This was announced by Tamedia and Swisscom on Wednesday. Tamedia is thus withdrawing from the takeover offer of 190 francs per share (Werbewoche.ch reported). Swisscom had already registered an offer of 200 francs per share on May 16.
Tamedia has agreed with Swisscom not to increase its offer any further and to tender the Publigroupe shares it holds to Swisscom if the latter's takeover bid is successful, the statement continues. The public takeover offers will otherwise continue in accordance with the applicable regulations.
The acquisition of Publigroupe by Swisscom and the partnership between Swisscom and Tamedia are subject to approval by the competition authorities.
